Termini e Condizioni

A.4 Proprietà intellettuale
A.5 Modifiche
B.1.3 Il Noleggio è riservato a persone maggiorenni.
B.2 Come funziona
B.6 Uso corretto, sicurezza e danni
B.10 Legge applicabile e foro competente (Utenti)
- a) mettere a disposizione lo spazio concordato e una presa di corrente, mantenendo la Stazione accesa e collegata durante l’orario di apertura; il consumo elettrico della Stazione è a carico del Partner, salvo diverso accordo nel Contratto di Collaborazione;
- b) custodire la Stazione con la diligenza del buon padre di famiglia, senza aprirla, manometterla, spegnerla stabilmente, coprirla o spostarla;
- c) non prelevare Power Bank se non tramite regolare Noleggio, non chiedere ai clienti somme aggiuntive per il servizio e non gestire direttamente pagamenti o rimborsi;
- d) segnalare tempestivamente a Pronto Charge (email o WhatsApp) guasti, danni, furti, schermi spenti, Stazioni piene o vuote, e ogni evento che ne impedisca l’uso; in caso di furto, sporgere denuncia su richiesta di Pronto Charge;
- e) consentire l’accesso ai locali, durante l’orario di apertura e con ragionevole preavviso ove possibile, al personale e ai tecnici incaricati da Pronto Charge per installazione, manutenzione, rifornimento, sostituzione, aggiornamento del materiale informativo (es. QR code) e rimozione;
- f) indirizzare a Pronto Charge i clienti che chiedono assistenza o rimborsi; il personale del Partner può fornire informazioni di base sull’uso;
C.6 Area Partner: accesso e credenziali
L’uso continuato dell’Area Partner dopo tale data vale come accettazione.
C.14 Legge applicabile e foro competente (Partner)
PARTE D — DISPOSIZIONI FINALI

Terms and Conditions
These Terms and Conditions govern the use of the services of PRONTO CHARGE S.R.L. by two categories of people: Users who rent power banks from Pronto Charge stations, and Partners, i.e. the businesses (bars, restaurants, hotels, beach clubs and other venues) that host one or more stations. In case of discrepancy between this text and the Italian version, the Italian version prevails. The document has four parts:
- Part A — General provisions, applying to everyone (website, app, map).
- Part B — General rental conditions, applying to Users.
- Part C — Partner conditions, applying to venues that host stations and use the Partner Area.
- Part D — Final provisions.
The processing of personal data is described in the separate Privacy and Cookie Policy.

- Rental: the paid service by which a User takes a Power Bank from a Station and returns it to any Station in the network.
- User: the individual who makes a Rental. When acting for purposes outside their trade or profession, the User is also a “consumer” under Italian Legislative Decree 206/2005 (the Consumer Code).
- Partner: the business that hosts one or more Stations at its premises (“Venue”) under the Collaboration Agreement.
- Collaboration Agreement: the commercial agreement between Pronto Charge and the Partner, signed electronically (e.g. via PandaDoc).
- Partner Area: the restricted area of Pronto Charge’s online platform for Partners (currently reachable at partners.prontocharge.it).
- Digital Channels: the prontocharge.it website, the public Station map, the “Pronto Charge” app for iOS and Android, the rental page opened via QR code and the Partner Area.
- Tariff: the economic terms of the Rental (deposit, free period, price per time unit, daily cap, purchase price) shown on the Station and/or the rental page before confirmation.
A.3 Use of the Digital Channels
A.3.1 The website, the public map and the app are informational: they let you find Stations and see indicative Power Bank availability, venue opening hours and photos. Availability is refreshed periodically and may differ from the actual situation when you reach the Station.
A.3.2 The “Pronto Charge” app does not require an account. Access to the device’s location is optional and is used only to show nearby Stations.
A.3.3 It is forbidden to: use the Digital Channels for unlawful purposes; attempt unauthorised access to systems, accounts or data; mass-extract (scrape) network data; interfere with the operation of the services; decompile or tamper with software, Stations or Power Banks.
A.3.4 The Digital Channels are provided “as is”. We strive to keep them working but do not guarantee they will be free of interruptions, errors or maintenance.
A.4 Intellectual property
Trademarks, logos, the “Pronto Charge” name, texts, graphics, photos, Station designs and software belong to Pronto Charge or their respective owners and are protected by law. They may not be used without written permission. Partners’ names and logos are used under the authorisation in Part C.
A.5 Changes
We may update these Terms for technical, legal or business reasons. The current version is always published on prontocharge.it with its update date. For Users, the version in force when the Rental starts applies; for Partners, clause C.13 applies.
PART B — GENERAL RENTAL CONDITIONS (USERS)
B.1 Scope and conclusion of the contract
B.1.1 The Rental contract is concluded between the User and Pronto Charge. The Partner hosting the Station is not a party to the contract and does not handle payments, refunds or complaints.
B.1.2 The contract is concluded when the User confirms the Rental by: (a) tapping a payment card or device (smartphone/smartwatch) on the Station’s contactless terminal; or (b) completing payment on the rental page or app opened via the Station’s QR code. By confirming, the User declares that they have seen the Tariff and accept these Terms.
B.1.3 Rentals are reserved to adults. Minors may use the service only with the authorisation and under the responsibility of the holder of parental responsibility, who is liable for the amounts due.
B.2 How it works
B.2.1 The Rental starts when the Station releases the Power Bank and ends when the Power Bank is correctly inserted into a free slot of any Pronto Charge Station and the Station records the return.
B.2.2 The Power Bank works with devices fitted with the connectors provided by its built-in cables, depending on the model (e.g. USB-C, Lightning). The charge level at release may vary.
B.2.3 The User must check that the return was successful (confirmation on the Station screen and/or on the rental page). If the Station is full, switched off or does not record the return, the User must use another Station or contact support immediately, keeping, if possible, a photo of the inserted Power Bank.
B.2.4 If the Power Bank released is faulty or flat, the User may return it within the free minutes shown in the Tariff at no cost, or report it to support: if a fault is confirmed, nothing is due.
B.3 Tariff, deposit and payments
B.3.1 The applicable Tariff is the one shown on the Station screen and/or the rental page before confirmation. Tariffs may vary between Stations. All prices are in euro and include VAT.
B.3.2 Pre-authorisation (deposit). When the Rental starts, an authorisation equal to the deposit shown in the Tariff is requested on the User’s card or payment method. The amount is “held” by the issuer and is charged only to the extent due.
B.3.3 Final charge. On return, only the actual cost of the Rental calculated according to the Tariff (free period, price per time unit, daily cap) is charged and the difference is released. Release times for the unused amount depend on the issuing bank (usually a few business days).
B.3.4 Multi-day Rentals. If the Rental continues beyond the first day, the User authorises Pronto Charge to increase the authorisation or to charge, on the same card or payment method, the amounts accrued under the Tariff, up to the purchase price under clause B.5.
B.3.5 If payment is made through the rental page or app, the User authorises Pronto Charge to store, through its payment service provider, a secure reference to the payment method and to make subsequent charges due under this contract (multi-day Rentals, non-return, damage) without further confirmation.
B.3.6 Pronto Charge never sees or stores the full card number: payments are handled by certified providers (e.g. Stripe) under PCI DSS security standards.
B.3.7 If a charge due fails (expired card, insufficient funds, issuer decline), the User remains liable for the amount; Pronto Charge may request payment by other means and refuse new Rentals until it is paid.
B.3.8 The payment receipt is available on the rental page or may be requested from support by giving the date, time, Station and last 4 digits of the card.
B.4 Maximum Rental period
The Rental has a maximum duration equal to the period shown in the Tariff or, if none is shown, 5 (five) days from the start of the Rental (the “Maximum Period”).
B.5 Non-return: purchase of the Power Bank
B.5.1 If the Power Bank is not returned within the Maximum Period, the Rental is closed and the Power Bank is deemed purchased by the User at the price shown in the Tariff, up to a maximum of €25.00 including VAT, inclusive of the deposit and the rental amounts already accrued. From that moment the Power Bank becomes the User’s property.
B.5.2 The User authorises Pronto Charge to charge that amount to the payment method used, including by increasing the pre-authorisation or through a subsequent charge.
B.5.3 The same rule applies if the Power Bank is lost or stolen during the Rental. The User may notify support to close the Rental immediately.
B.5.4 If, after closure for non-return, the Power Bank is nevertheless inserted into a Station, Pronto Charge will consider in good faith, at the User’s request, a partial refund; such refund is not owed.
B.6 Proper use, safety and damage
B.6.1 The Power Bank contains a lithium battery. The User undertakes to: use it only to charge personal electronic devices; not open, puncture, modify or repair it; not expose it to water or other liquids, heat sources, fire or prolonged direct sunlight; not drop it or subject it to impacts or crushing; not transfer, sub-rent or resell it to third parties during the Rental; not remove labels or codes.
B.6.2 Before use, the User visually checks the Power Bank. If they notice damage, swelling, overheating, smells or smoke, they must stop using it immediately, move it away from people and flammable materials and contact support.
B.6.3 From the start of the Rental until its return, the User is liable for damage to the Power Bank caused by improper use. If the damage makes the Power Bank unusable, an amount up to the purchase price under clause B.5 may be charged. The User is not liable for normal wear and tear.
B.6.4 Tampering with the Station, forcing its slots or taking Power Banks without a Rental is forbidden and may be reported to the competent authorities.
B.7 Pronto Charge’s liability
B.7.1 Pronto Charge is liable for damage suffered by the User and their devices where it results from defects in the Power Bank or Station, or otherwise from causes attributable to Pronto Charge, within the limits set by law.
B.7.2 Pronto Charge is not liable for damage caused by use in breach of clause B.6, by faulty or incompatible User devices, or by third-party cables or accessories, nor for the unavailability of Power Banks or free slots at a specific Station or for venue opening hours. The charging service does not guarantee the preservation of data on devices: regular backups are recommended.
B.7.3 Nothing in these Terms limits or excludes Pronto Charge’s liability for wilful misconduct or gross negligence, for personal injury or where such limitation is not permitted by law, nor the rights granted to consumers by the Consumer Code, including product liability rules.
B.8 Right of withdrawal
B.8.1 For Rentals concluded directly at the Station (via the contactless terminal), the rules on the right of withdrawal from distance contracts do not apply, as these are contracts concluded by means of automatic vending machines (Art. 47(1)(n) Consumer Code).
B.8.2 For Rentals concluded via the rental page or app, the User expressly requests that the service start immediately. The User may end the Rental at any time by returning the Power Bank, paying only the amount accrued up to that moment under the Tariff (Art. 57(3) Consumer Code). Once the Power Bank is returned, the service has been fully performed and the right of withdrawal can no longer be exercised (Art. 59(1)(a) Consumer Code).
B.9 Support, complaints and disputes about charges
B.9.1 For support, malfunctions, unrecorded returns or complaints, the User may write to info@prontocharge.it or on WhatsApp at +39 352 077 7880, stating the date, time and Station of the Rental and the last 4 digits of the card. We usually reply within 2 business days and in any case within 30 days.
B.9.2 To dispute a charge, we invite the User to contact us before starting a dispute (chargeback) with their bank: in most cases the issue is solved faster with a direct refund. The User’s rights towards their card issuer remain unaffected.
B.9.3 Consumers may also use the alternative dispute resolution (ADR) procedures provided for by the Consumer Code.
B.10 Governing law and jurisdiction (Users)
The Rental contract is governed by Italian law. For disputes with consumer Users, the court of the consumer’s place of residence or domicile, if in Italy, has jurisdiction (Art. 66-bis Consumer Code). Any more favourable mandatory rules of the consumer’s country of habitual residence remain applicable. For non-consumer Users, the Court of Rome has exclusive jurisdiction.
PART C — PARTNER CONDITIONS
C.1 Scope and relationship with the Collaboration Agreement
C.1.1 This Part C governs the hosting of Stations at the Partner’s Venues and the use of the Partner Area. It supplements the Collaboration Agreement signed by the Partner: in case of conflict, the Collaboration Agreement prevails, in particular as regards the revenue share, term and termination.
C.1.2 The Partner acts in the course of its business: consumer protection rules do not apply.
C.2 Installation and ownership of the Stations
C.2.1 Pronto Charge installs the agreed Stations free of charge, configures them and takes care of their maintenance, charging and Power Bank restocking.
C.2.2 Stations, Power Banks, payment terminals, SIM cards, stands and promotional materials remain the exclusive property of Pronto Charge. They are entrusted to the Partner’s custody for the duration of the collaboration; the Partner acquires no rights over them and may not transfer, pledge or move them to other premises.
C.2.3 The Station position is agreed by the parties at a spot that is visible and accessible to customers, near a power socket. Any later relocation must be agreed with Pronto Charge.
C.3 Partner obligations
The Partner undertakes to:
- a) provide the agreed space and a power socket, keeping the Station switched on and connected during opening hours; the Station’s electricity consumption is borne by the Partner, unless otherwise agreed in the Collaboration Agreement;
- b) look after the Station with due diligence, without opening, tampering with, permanently switching off, covering or moving it;
- c) not take Power Banks other than through a regular Rental, not ask customers for additional fees for the service and not handle payments or refunds directly;
- d) promptly report to Pronto Charge (email or WhatsApp) faults, damage, theft, blank screens, full or empty Stations and any event preventing their use; in case of theft, file a police report at Pronto Charge’s request;
- e) allow staff and technicians appointed by Pronto Charge to access the premises during opening hours, with reasonable notice where possible, for installation, maintenance, restocking, replacement, updating information materials (e.g. QR codes) and removal;
- f) refer to Pronto Charge any customers asking for support or refunds; the Partner’s staff may give basic information on how to use the service;
- g) not install, during the collaboration, power bank rental stations of other operators at the same Venue, unless otherwise agreed in writing.
C.4 Risks and liability for the Stations
C.4.1 The Partner is not liable for faults, wear or theft not attributable to its fault. It is liable for damage to, loss or theft of the Station and the Power Banks in it caused by wilful misconduct or negligence of the Partner or its staff, including breaches of clause C.3.
C.4.2 Pronto Charge warrants that the Stations comply with applicable technical standards and is liable for damage to persons or property at the Venue caused by Station defects or by its appointed personnel, within the limits of the law.
C.5 Display, content and communication
C.5.1 The Station screen and stickers show instructions, the Tariff and informational or promotional content from Pronto Charge and, where applicable, selected third parties. Pronto Charge does not display unlawful or offensive content or content from the Partner’s direct competitors at the Venue; the Partner may flag content it deems inappropriate and Pronto Charge will assess it in good faith.
C.5.2 The Partner authorises Pronto Charge, free of charge and for the duration of the collaboration, to use the Venue’s name, sign, logo, address, opening hours and photos of the Venue and the Station on the public map, website, app, sales materials and social media, in order to show the presence of the Station and promote the network. When the collaboration ends, Pronto Charge removes such content from the Digital Channels within 30 days; publications already released and historical materials that cannot be edited are excepted.
C.5.3 The Partner warrants that it holds the rights to the logos and content provided and indemnifies Pronto Charge against third-party claims in this respect.
C.6 Partner Area: access and credentials
C.6.1 Access to the Partner Area requires an account registered through the authentication service used by Pronto Charge (currently Clerk). To sign the Collaboration Agreement, the Partner completes its profile with at least: company name, VAT number or tax code, registered office, and the first name, last name and role of the legal representative. Until the profile is complete, signing is not available.
C.6.2 The Partner is responsible for the accuracy and updating of the data provided and for keeping its credentials confidential. Access is reserved to the legal representative and persons authorised by them. The Partner must immediately report any suspected unauthorised access to info@prontocharge.it. Pronto Charge is not liable for damage resulting from failure to safeguard credentials.
C.6.3 The Partner may register one or more Venues by entering their name and address. A Venue with a history of payout requests cannot be deleted, to ensure accounting and tax traceability.
C.7 Collaboration Agreement
C.7.1 The Collaboration Agreement is generated from a standard template and signed electronically within the Partner Area. Its status may be: draft, sent, viewed, completed, declined or expired.
C.7.2 The revenue share and payouts accrue only once the Collaboration Agreement has been signed. The signed document can be viewed at any time from the Partner Area.
C.8 Revenue share
C.8.1 For each Venue, the Partner is entitled to the percentage of revenue set out in the Collaboration Agreement.
C.8.2 Unless otherwise agreed in the Collaboration Agreement, the percentage is calculated on the net revenue from Rentals started at the Venue’s Stations, i.e. the amounts actually collected by Pronto Charge, net of VAT, refunds, reversals and chargebacks, and excluding amounts collected as purchase price for non-return or as compensation for damage to Power Banks.
C.8.3 Number of rentals, revenue, percentage and accrued share are calculated by Pronto Charge from the data recorded by its systems and are available to the Partner in the Partner Area on a read-only basis. The Partner may dispute a month’s data in writing within 60 days of publication; after that period the data are deemed accepted, save for clerical errors.
C.8.4 Pronto Charge may propose a change to the percentage with at least 30 days’ written notice. The change applies only to revenue accrued after its effective date. If it does not accept the change, the Partner may terminate the collaboration before the effective date without penalty.
C.9 Payout requests
C.9.1 The Partner may request a payout of the accrued share from the Partner Area once a minimum of €150.00 per Venue is reached, unless otherwise agreed.
C.9.2 To request a payout, a valid IBAN and at least one of an SDI code or PEC address must be entered in the profile. Only one pending request per Venue is allowed at a time.
C.9.3 Payment is subject to the Partner issuing an electronic invoice addressed to Pronto Charge for the amount requested, following the instructions in the Partner Area or the Collaboration Agreement, unless the parties have agreed a different form of tax documentation.
C.9.4 Pronto Charge processes requests manually and makes the bank transfer, save in exceptional circumstances, within 5 business days of receiving a correct invoice. A request’s status may be: pending, completed or failed.
C.9.5 The Partner is solely responsible for the accuracy and updating of its IBAN, SDI code and PEC. Pronto Charge is not liable for delays or failed payments due to incorrect data, without prejudice to its commitment to promptly report the issue.
C.9.6 Pronto Charge may set off the accrued share against any amounts owed by the Partner under clause C.4.1, after written notice.
C.10 Data and confidentiality
C.10.1 The Partner has no access to Users’ personal data; in the Partner Area it only sees aggregated data about its own Venues. Pronto Charge and the Partner each process the personal data within their remit as independent controllers. The processing of the data of the Partner and its contact persons is described in the Privacy and Cookie Policy.
C.10.2 The parties keep confidential the economic terms, Station performance data and business information received, save for legal obligations.
C.11 Suspension, term and termination
C.11.1 This Part C remains in force for the entire term of the Collaboration Agreement.
C.11.2 Pronto Charge may suspend access to the Partner Area or payment of the share in case of breach of this Part C, improper use of the platform or reasonable suspicion of fraud, notifying the Partner.
C.11.3 When the collaboration ends for any reason, the Partner allows the Stations and Power Banks to be collected within 30 days. The share accrued up to the end date is paid under clause C.9, even if below the minimum amount, upon issue of the invoice.
C.12 Limitation of liability (Partners)
Save for wilful misconduct or gross negligence and the cases under clause C.4.2, Pronto Charge is not liable to the Partner for lost profits, loss of opportunity or indirect damage arising from the operation of the Stations or the platform, connectivity interruptions or a number of Rentals below expectations.
C.13 Changes (Partners)
Changes to this Part C are notified to Partners through the Partner Area and/or by email at least 30 days in advance, unless required by law or purely technical and not detrimental. If it does not accept the changes, the Partner may terminate before they take effect. Continued use of the Partner Area after that date constitutes acceptance.
C.14 Governing law and jurisdiction (Partners)
This Part C and the relationship with the Partner are governed by Italian law. The Court of Rome has exclusive jurisdiction over any dispute.
PART D — FINAL PROVISIONS
D.1 Language. This document is drafted in Italian and English. In case of discrepancy, the Italian version prevails.
D.2 Severability. If any clause is held invalid, the remaining clauses remain valid.
D.3 No waiver. A party’s tolerance of the other’s breaches does not constitute a waiver of its rights.
D.4 Notices. Notices to Pronto Charge are sent to info@prontocharge.it. Notices to Partners are sent to the email address given in the Partner Area or the Collaboration Agreement.
D.5 Specific approval (Partners). Pursuant to Articles 1341 and 1342 of the Italian Civil Code, the Partner, by signing the Collaboration Agreement or by ticking the relevant box in the Partner Area, specifically approves the following clauses: C.1.1 (precedence of the Agreement); C.3(a) and (g) (electricity costs and exclusivity); C.4.1 (liability for the Station); C.5.2 (authorisation to use name and logo); C.6.2 (responsibility for credentials); C.8.2 and C.8.3 (calculation basis and deadline for disputes); C.8.4 (change of percentage); C.9.3–C.9.6 (payment conditions and set-off); C.11.2 (suspension); C.12 (limitation of liability); C.13 (changes); C.14 (exclusive jurisdiction).
